These Terms & Conditions shall only be considered as valid in the original English version, any translated versions might not be correctly translated since this is handled by a third party service.
By joining Crowd1 as a free and/or paid Associate you agree to comply with the following terms and conditions.
1 General Terms
Crowd1 is a closed membership club by invitation only. The membership (“Membership”) is free and as a free Associate (“Associate”) you will be allowed to upgrade to a paid Membership, that includes several internal and external features, that Crowd1 from time to time offer their Associates to join and potentially earn money from. If you choose to be an Associate with a paid Membership, Crowd1 may provide you with purchasing rights for Building Blocks (see section 2 of these terms & conditions), that can be purchased at a later stage at a pre-determined price. There is absolutely no guarantee that you will earn money or make profits and your Building Blocks and/or Purchase Rights may lose all their value.
These terms and conditions (“T&C”) control your Membership in Crowd1 and by accepting these T&C; you agree that you have read and understand these T&C and that your Membership in Crowd1 shall be subject to the following terms and conditions between you as an Associate and Crowd1. These T&C are subject to change without prior notice.
1.3 Terms of participation and general rules
To be accepted as an Associate, you must be at least 18 years of age and have reached the age of majority in your state of residence. You are only allowed to sign up for one Membership. To become an Associate, you must provide accurate, complete and updated registration information, including an accurate name, phone number and email address. Associate may not (i) select or use an email address of another person; (ii) use a name subject to rights of another person without authorization from that person; (iii) use a false or misleading name, mailing address, or email address to activate or use an Associate account. If you choose to break any of these guidelines, you risk losing your status as an Associate of Crowd1 and you may lose any value or Building Blocks you have accumulated in Crowd1. Crowd1 may require that you verify your identity by asking for certain documents and/or certifications. By signing up for a free Membership in Crowd1, you as the Associate is opting-in to receive other special offer e-mails from Crowd1. If you do not wish to receive these e-mails, you may cancel your account at any time. Your membership is personal and you cannot sell it or transfer the Membership without prior written consent by Crowd1. Crowd1 reserves the right to track Associate's activity by both IP address as well as individual browser activity. Crowd1 may reject your Membership registrations or activation without giving any reason for the rejection.
1.4 Restricted countries
The following countries are restricted and Associate from these are not allowed: Belarus, Cuba, Iraq, Iran, North Korea, Nigeria and the USA. The restricted countries list may change without notice if governmental authorities in the US or the UK decide or if a third party supplier restricts operations in any jurisdictions or if operational or risk assessments are made by company management to do so.
If an Associate is closed because of changed restrictions, the Building Blocks earned and accumulated may be exchanged for real currency and sent to the Associate’s own bank account.
1.5 Access to back-office
As a free Associate in Crowd1 you will be allowed to log in at your back-office at the website www.crowd1.com, the (“Back-Office”). In the Back-Office you will find information about Crowd1 and the opportunities that Crowd1 from time to time offers to the Associates, by purchasing Building Blocks and inviting Associates. From your Back-Office you will have the opportunity to buy various membership packages. If and when you as an Associate buy Building Blocks in any form, please note that Crowd1 is NOT a registered financial advisor, that Building Blocks in not a financial instrument, but merely a token of ownership in a shares profits pool and all purchases involves a risk of full financial loss, always consult a professional prior to purchasing Build Blocks.
1.6 E-Mail: Electronic Notification
When you are approved as an Associate with Crowd1, you expressly consent to receive any notices, announcements, agreements, disclosures, reports, documents, communications concerning new products, services, crowd funding or other records or correspondence from Crowd1. You consent to receive notices electronically by way of transmitting the notice to you by email using the email address you have registered with Crowd1.
1.7 Referring a new Associate
As an Associate, you are allowed to inform any other person or entity about the free membership in Crowd1. However, you will not earn any money for referring new Associates to Crowd1 since Crowd1 does not pay anything for referring Associates. If any of the referred Associate purchase a Membership you have the possibility to earn money based on such purchase, subject to that you have bought a Membership yourself, has applied to become and has been accepted as an Affiliate in Crowd1 and that you are an active affiliate (“Active Affiliate”). The referred Associates will not be subject to generating earning until they successfully have redeemed their voucher at the current partner company for Crowd1.
1.8 Anti-Spam Policy
Crowd1 prohibits the marketing practice commonly referred to as "Spam". All messages that originate from you as an Associate must comply with all applicable laws in your jurisdiction as well as with general spam regulations. In the event of any validated report of "Spam" by you, Crowd1 may, at its sole discretion and without prior notice, terminate or suspend your Membership. Crowd1 defines "Spam" as: Electronic mail messages addressed to a recipient with whom the initiator does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient; Messages posted to forums and message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups or forums, or posted in excessive volume; Solicitations posted in forums, on walls, private messaging or chat rooms, or to groups or individuals via Chat or "Instant Messaging" system; Crowd1 will evaluate each validated abuse incident on a case-by-case basis and will, at its sole discretion and with or without notice, suspend your Membership and/or terminate it. Note that you agree and accept that Crowd1 will not be liable for any damages incurred in relation to e-mails sent out by you as an Associate. The Associate is required to be responsible for their own communications and their conformance to these T&C.
1.9 Suspending the Membership
Crowd1 has the right, in its sole discretion, to suspend or cancel, at any time and for any or no reason, an Associate’s Membership and access to the Crowd1 website and Back-Office. In such an event, all e-wallet balances, Building Blocks and/or Purchase Rights will be subject to suspension.
1.10 Termination of access or Membership
The Associate can at any time terminate the Membership by giving 7-days notice to Crowd1 by sending a support ticket on www.crowd1.com. Crowd1 can at any point take a decision to terminate your Membership without giving any reason for the termination. The termination will be effected immediately. Please note that if it comes to our attention that you have signed up for more than one Membership and used other e-mail addressed for your registrations or in any other way tried to circumvent the regulation of one Membership only, Crowd1 will immediately terminate all but one Membership. Crowd1 may also delete any Membership to comply with applicable laws, protect its property or the property of others, ensure the safety of Crowd1 and others or if Crowd1 reasonably determines that a registrant has or is likely to engage in any activity that violates these T&C.
1.11 Legal action
If you as an Associate violate these Terms & Conditions Crowd1, without prejudice to any other rights and remedies at law or in equity, reserves the right to take any action it deems appropriate, including but not limited to issuing warning letters, suspending or terminating the Membership, as per above. Furthermore, Crowd1 has zero tolerance for unprofessional behaviour that can in any way, shape or form directly or indirectly harm Crowd1 or Crowd1’s company. Legal action will be taken against those individuals for any loss of income or any other financial loss caused to the Crowd1 or Crowd1’s company due to this behaviour. Any Associate caught smearing the name of Crowd1 – whether it’s directly or indirectly - or in any way misrepresent Crowd1 or its company, will also be subject to legal action. Crowd1 shall be the sole determiner in cases of suspected abuse, fraud, violation of its rules, unprofessional behaviour, smearing or misrepresenting Crowd1. Any decision Crowd1 makes relating to the cancellation of earnings and the termination of membership shall be final and binding.
Crowd1 may modify these terms and conditions at any time. Please review the T&C from time to time since your on-going use is subject to the T&C as modified. Your continued log-in at your Back-Office or other kind of participation in Crowd1 after such modification shall be deemed to be your acceptance of any such modification. If you do not agree to these T&C, please do not register to become an Associate of Crowd1.
1.13 Different packages of Membership
The various packages of Membership that you can purchase are:

Depending of which package/membership you purchase this can benefit you in your Affiliate membership. You are allowed to sell membership packages to other people, subject that that person also becomes an Associate in Crowd1. You can at any time upgrade your Membership package from e.g. White to Black by purchasing the Black package and only pay the difference between the White and Black Package. In this case you will pay 200 EUR to get the new benefits, which is the difference between 99 EUR and 299 EUR.
1.14 Trademarks, copyrights & other intellectual property
All Crowd1’s trademarks, marketing material, information about products, offers, URL and/or companies or partners that Crowd1 from time to time cooperates with (the ”Property”) belongs to Crowd1. You as a Associate are familiar with Crowd1’s Property and are not permitted to file for registration any of Crowd1’s Property, including names, tag lines, slogans, trademarks, logos, designs, domain names, imagery, or copyrighted material substantially similar to Crowd1’s Property.
2 Terms & Conditions for Building Blocks & Purchasing Rights
These terms and conditions are applicable for all Associate in Crowd1 that choose to use so-called Purchasing Rights and/or Building Blocks, which will give the right, if available, to purchase Building Block as a part of a revenue sharing program where Crowd1 will participate. Crowd1 may modify these T&C for Purchasing Rights & Building Blocks at any time. Please, therefore, review these T&C from time to time since your on-going use or purchase of Purchasing Rights are subject to the T&C also when modified during on-going use. Your acceptance of any such modification shall be defined as your continued log-in at your Back-Office. If you do not agree to these T&C, please do not purchase the Purchasing Rights and/or Building Blocks you are just about to purchase.
2.1 About Purchasing Rights
If you as an Associate in Crowd1 chooses to convert a Purchasing Right in Crowd1 it is very important that you understand what a Purchasing Right and/or Building Block is. A Purchasing Right in Crowd1 is defined right to purchase a specified amount of Building Blocks at a defined price. The price of Building Blocks is subject to change without prior information. A Building Block is a token of ownership in the shared revenue pool set up by Crowd1. The amount of payout per Building Block is subject to change. The calculation for payout per Building Block is:
Total Revenue Sharing Amount / Current Amount of Building Blocks = Payout per Building Block.
Purchase Rights must be converted within 30 days upon delivery, after which they will be shown as Expired in your back office. Expired Purchase Rights may never be available again to convert within Crowd1. Building Blocks may however not expire unless stated elsewhere in these T&C.
2.2 Convert into Building Blocks
If you want to purchase Building Blocks you can either use non-withdrawn commission in your Crowd1 account or by making a payment with any of the offered payment providers. Please note that transactional fees when purchasing Building Blocks are subject to change without prior notice.
2.3 Cooling off period, refund and chargeback
When you purchase a Crowd1 Membership you have 14 days cooling off period which means that you can regret your purchase of whole and get a refund of your money. This cooling off period will be terminated and cancelled immediately if you choose to use any of the features in your Crowd1 website, use of Crowd1 partners products included in membership purchase or use any of the Purchasing Rights in your account, you will neither have a cooling off period, nor the right to a refund or a chargeback since you have started to use the product you have bought, which per definition cancels your possibility for any refund.
2.4 Conversion Bonus
As stated above in these T&C, Crowd1 may provide the Associate with additional converted Building Blocks IF the Associate choose to purchase the Building Blocks by the use of the included Purchasing Rights in the Membership package. This is a onetime bonus offering.
3 Terms & Conditions for Crowd1 Affiliates
3.1 Crowd1 is a closed membership club
Crowd1 is a closed membership club. Joining as a free Associate, (“Associate”) is by invitation only and can be both for individuals or corporate entities. Crowd1 offers their Associates to participate as an affiliate for their different educational membership packages as well as participating in future offers.
3.2 Become an Affiliate
To become an affiliate, hereinafter called (“Affiliate”), you first need to be a registered free Associate and you must be at least 18 years of age and have reached the age of majority in your state of residence. When you apply to become an Affiliate you need to supply information about the Affiliate that has referred you to become an Affiliate. Please note that it is not possible to change the referring Affiliate afterwards so please be careful that you write the correct link when applying to become an Affiliate.
3.3 Change to Gift Certificate / Gift Codes
You can at any time change your non-withdrawn account balance to Gift Certificates (sometimes also called “Gift Codes”. The Gift Certificate can be used to give people a Membership Package. Note that the person you send a Gift Certificate to must become a free Associate before he/she can receive and/or use the Gift in any of the Memberships that Crowd1 from time to time offer their Associates to purchase. If you sell the Gift Certificate you must take the same price as the Membership package costs at the Webpage and you are solely responsible for paying any tax because of the sold Gift Certificate.
These terms and conditions are applicable for all Associates in Crowd1 that have been accepted to become an Affiliate, which allows the Affiliate to refer new free Associates to upgrade into a paid Membership, that includes several internal and external features, that Crowd1 from time to time offer their Associates to join and potentially earn money from. If you chose to refer an Associate with a paid Membership, Crowd1 may provide them with purchasing rights for Building Blocks, that can be purchased at a later stage at a pre-determined price, there is absolutely no guarantee that they will earn money or make profits, and you are hereby also warned that the Building Blocks may lose all their value. These terms and conditions are hereinafter called (the “Terms & Conditions for Affiliates”). Crowd1 may modify these Terms & Conditions for Affiliates at any time. Please review them from time to time since you and your on-going use are subject to the Terms & Conditions for Affiliates immediately when modified. Your continued log-in at your Back-Office shall be deemed to be your acceptance of any such modification. If you do not agree to these Terms & Conditions for Affiliates, please do not apply to become an Affiliate and if you don not agree with future potential changes, please terminate your membership.
These T&C are on-going from the day when you become an Affiliate and will continue until terminated by either you or Crowd1.
3.6 Refer Associates that purchase a Membership Package
As an Affiliate you can refer new free Associate to Crowd1. Please note that Crowd1 does not pay any commission or compensation, nor give any other form of bonus or reward for referring new Associates to Crowd1. The only way you as an Affiliate can be rewarded is if any of the Associates you have direct or indirect referred to Crowd1 purchase a Membership that can be used to acquire any of the product packages or in any of the crowd funding that Crowd1, from time to time, offers their Associates to participate in. The rewards will be given as various bonuses (“Bonuses”) according to the reward system which can be found in the section “Reward System” in these Terms & Conditions for Affiliates.
3.7 Proprietary rights in website
All content included on the Website, including videos, graphics, designs, text, pictures, applications, software and other files are the proprietary property of Crowd1 (“Proprietary Property”) and belongs to Crowd1. You may not modify, copy, distribute, frame, republish, display, post, transmit, download or sell any Proprietary Property, in any form or by any means, in whole or in part, without Crowd1´s prior written consent. You may not upload or republish Proprietary Property on any Internet, Intranet or Extranet site or incorporate the information in any other database or compilation. Any use of the Proprietary Property without the prior written consent from Crowd1, is strictly prohibited and will terminate your rights as an Affiliate and any unpaid and future Bonuses according to these Terms & Conditions for Affiliates will be forfeited and legal proceedings may be taken against you. Such unauthorised use may also violate applicable laws including copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated herein, nothing in these Terms & Conditions for Affiliates shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise.
The names, graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of Crowd1 (“Trademarks”). All rights are reserved. All such Trademarks and/or trade dress may not be copied or used in any manner without the prior written consent of Crowd1. You hereby declare that you are familiar with Crowd1’s Proprietary Property and are not permitted to file for registration any of the Proprietary Property, including names, taglines, slogans, trademarks, logos, designs, domain names, imagery, or copyrighted material substantially similar to Crowd1’s Proprietary Property.

Note that you agree and accept that Crowd1 will not be liable for any damages incurred in relation to e-mails sent out by you as an Affiliate. The Affiliate is required to be responsible for their own communications and their conformance to these Terms & Conditions for Affiliates.
3.10 Prohibition to advertise
You are prohibited, without prior written consent by Crowd1, from advertising in any way, shape or form. This includes, but is not limited to advertising, promotions of any kind or any advertising links in social forums, such as but not limited to blogs, social forums or other marketing methodology designed to promote Crowd1’s free membership, crowd funding or the possibility to purchase building blocks.
Crowd1 may offer at some stage, Banners or other promotional material together with information about how and where such material may be used. Associates may advertise if they are following such guidelines strictly.
If the Associate fails to comply with these guidelines, Crowd1 holds the right to terminate the Associate account, including any Purchasing Rights and/or Building Blocks.
Associates may not, in any shape or form, create their own advertising or marketing material to promote Crowd1 or any of the Crowd1 products and services.
3.11 Violation of the Terms & Conditions for Affiliates
If you violate these T&C for Affiliates or if you act in a way that Crowd1 thinks is not fair towards other Associates of the community, Crowd1 can suspend and/or terminate your status as an Affiliate and Associate and also reserves the right to take legal action against you for any damage you have caused Crowd1.
3.12 Suspending you as an Affiliate
If you breach these T&C for Affiliate or if Crowd1 suspect that you breach these T&C for Affiliate, Crowd1 can suspend you as an Affiliate which means that Crowd1 will temporarily disable your access to the Back-Office and temporarily disable your access to all content, news and possibility to any other features until Crowd1 takes a final decision to either terminate or resuming your status as an Affiliate. Termination of your status as an Affiliate will have consequences that can be found under the section “Termination of an Affiliate”. Resuming your Affiliate status will restore your access to the Back-Office services and to all access and values that are still available and that you were entitled to see or use before the suspension. If you are suspended, Crowd1 also reserves the right to freeze your Bonuses, Building Blocks, Purchasing Rights and other gift certificates until the investigation is finalised. Please note that in case you are suspended as an Affiliate you will not be able to use any Purchasing Rights or any of the Building Blocks and in case of a potential loss during the time of suspension you will NOT be allowed or entitled to any compensation for any loss of any kind, including but not limited to loss in value of the specific Building Blocks that you have used Purchasing Rights to obtain.
3.13 Termination of your status as Affiliate
The Affiliate can at any time terminate their Affiliate status by giving 7 days’ notice by sending a support ticket on www.crowd1.com. Crowd1 can at any point take a decision to terminate you as an Affiliate without giving any reason for the termination. The termination will be effective immediately.
You agree that Crowd1 shall not be liable to you or any third party for any termination of your access to the Crowd1 website. Crowd1 also reserves the right to terminate any Affiliate in order to comply with applicable laws, protect its property or the property of others, ensure the safety of Crowd1 and others or if Crowd1 reasonably determines that a registrant has or is likely to engage in any activity that violates these Terms & Conditions for Affiliates.
3.14 Legal actions
In the event of any violation or breach of these Terms & Conditions for Affiliates, Crowd1 without prejudice to any other rights and remedies at law or in equity, reserves the right to take any action it deems appropriate, including but not limited to issuing warning letters, suspending or terminate you as an Affiliate and pursue litigation or other legal actions. Furthermore, Crowd1 has zero tolerance for unprofessional behaviour that can in any way, shape or form directly or indirectly harm Crowd1 or Crowd1’s company. Legal action will be taken against those individuals for any loss of income or any other damage or financial loss caused to the Crowd1 or Crowd1’s company due to this behaviour. Any Affiliate caught smearing the name of Crowd1 – whether it’s directly or indirectly - or in any way misrepresents Crowd1 or its company, will also be subject to legal action.
Crowd1 shall be the sole determiner in cases of suspected abuse, fraud, violation of its rules, unprofessional behaviour, smearing or misrepresenting Crowd1. Any decision Crowd1 makes relating to the cancellation of potential Bonuses and the suspension or termination of membership shall be final and binding.
3.15 Rejection of an Affiliate application
Crowd1 may reject your application to become an Affiliate without giving any reason for the rejection.
3.16 Reward system
As earlier stated you, as an Affiliate can be entitled to be rewarded if any of your direct or indirect referred Associates purchase a Membership. The different Bonuses that you can be rewarded with are:
- Binary Membership Package Sales Bonus
- Matching Bonus
- Streamline Bonus
- Special Promotions
Below you can find information about the various Bonuses. NOTE that special promotions can be applicable from time to time which means that the various Bonuses might be changed temporarily. These Special Promotions have separate terms and conditions, please review these for each promotion.
3.17 Product Package Sales Bonus
When you refer an Associate and this purchases a Membership Package, you can position your sponsored/referred Associate in your left or right team. Each sold package of Membership that is changed into Product Package will give you a certain amount of Binary Points (“BP”) that you can see in your Back-Office. The number of BP you will be rewarded with depends on the type of package of Options that is sold in your total team. The following BP will be credited to you:
- 1 sold C1 Package for 79 EUR = 730 BP.
- 1 sold C2 Package for 299 EUR = 2765 BP.
- 1 sold C3 Package for 599 EUR = 5540 BP.
- 1 sold C4 Package for 1199 EUR = 11090 BP.
You will receive the BP to your BP accounts (“BP Accounts”) where your BP will be automatically changed to a euro value where the exchange rate from Points to a monetary value will be the exchange rate that is applicable when the change is made.
The number of BP you are rewarded with are based on the number of direct or indirect sponsored Associates that purchase a Membership Package and that is not claimed back according to Crowd1’s refund policy or is on temporary hold until the “cooling off” period has ended or been terminated. In case that any chargeback, refund or otherwise any money for bought BP is sent back to a specific Associate you accept that Crowd1 deduct any reward that has been credited to either your BP Accounts or Value Account.
Only points in balance between your right and left team will be subject to generating a BP balance that can be exchanged towards a monetary value in your Value Account, that later on can be used to upgrade, purchase Gift Certificates and/or withdraw with a supported withdrawal provider.
BP can be accredited for being in balance only once, and no recurring revenue can be made for the same BP balance. 100 BP in balance equals a possibility but not a guarantee to receive €1 in bonus.
Please note that Building Blocks and/or Purchase Rights is not subject to BP or any other bonus.
3.18 Matching Bonus
The Matching bonus is a reward to motivate you to help the Associates, that you personally have sold a Membership Package to, to also be rewarded with various Bonuses.
- When you have sold a Membership Package to 4 Associates you have 10% Matching Bonus of the number of BP they get from the Binary Bonus.
- When you have sold a Membership Package to 8 Associates you have 10% + 10% Matching Bonus of the number of BP they get from the Binary Bonus.
- When you have sold a Membership Package to 12 Associates you have 10% + 10%+ 10% Matching Bonus of the number of BP they get from the Binary Bonus.
- When you have sold a Membership Package to 16 Associates you have 10% + 10% + 10% + 10% Matching Bonus of the number of BP they get from the Binary Bonus.
The Matching Bonus will not be deducted from the Associates you direct or indirect have sold a Membership Package to and is an extra reward from Crowd1.
You need to have minimum a C1 Package or bigger Package to be entitled to receive Matching Bonus.
3.19 Streamline Bonus
The Streamline Bonus is calculated based on your number of directly sponsored Associates, as well as the total growth of the total number of Associates in Crowd1 with an active membership package of C1 and/or higher.
Streamline does provide you with additional Purchasing Rights that can be converted given that there are currently Building Blocks available, along with free of charge Building Blocks. Building Blocks that are distributed for free in the Streamline bonus, is non-transferable, cannot be sold nor will generate any additional bonus payment until the Associate has participated in one of the three first Crowd Funding projects that will be appointed by Crowd1. If the Associate fails to participate in any of these three first project at the minimum level communicated from Crowd1, the Building Blocks will be terminated on the Associates account and transferred back to Crowd1.
The calculation for the Free Building Blocks along with the Purchasing Rights amount is based upon the current quote of the Building Blocks as advertised on your Crowd1 Dashboard.
Streamline Bonus is calculated every Friday at 00:00 GMT. Below is what is required from your amount of direct sponsored Associates and the total number of Associates in Crowd1.

3.20 Know Your Client
Due to the protection of Crowd1, the Associates and the Affiliates and to be compliant with applicable regulations, Crowd1 can at any time, at their own decision, ask the Affiliate to open an account with Fennas Finance where the Affiliate is obliged to provide a copy of the Affiliate's passport and a copy of a utility bill that is not older than 90 days and shows the address of the Affiliate. This request is called (“KYC Request”). If a KYC Request is sent, the Affiliate will not be able to withdraw any money from their Crowd1 Account until the Affiliate has provided acceptable documents. This means that the Affiliate can neither change their Crowd1 balance to Gift Certificate nor change the Balance to real money. Any applicable costs related to the KYC application shall be paid directly by the Associates.
3.21 Qualification requirements
To be entitled to any Bonuses there are one requirement:
You need to sell one package in your left team and one package in your right team. Please note that Bonus Points are accumulated until you are qualified, but maximum six months and Matching Bonus is not accumulated.
3.22 Forfeit of Bonuses
If the Affiliate loses the status of an Affiliate due to a violation of these T&C for Affiliates or if the Affiliate does not provide acceptable documents according to a KYC Request within 2 weeks from the KYC Request was sent to the Affiliate, all rights to current and future Bonuses including entitled rewards and Bonuses that are in bonus plans described above or PSU, are forfeited and the Affiliate cannot claim any right to Building Blocks and/or Purchase Rights.
3.23 Legal & Tax compliance
You are subject to all laws of the state, province and/or country in which you reside and from which you access Crowd1’s website and the Crowd1 crowd funding and you are solely responsible for obeying those laws. If Crowd1 suspects that you breach against any law e.g. produce false gift certificate, use a stolen credit card, or otherwise makes a fraud or an attempt to fraud, Crowd1 can with immediate effect suspend your status as an Affiliate, block all your bonuses and take other legal action against you without further notice. You agree that Crowd1 cannot be held liable if laws applicable to you restrict or prohibit your participation. Crowd1 makes no representations or warranties, implicit or explicit, as to your legal right to participate in any tournament or crowd funding offered by Crowd1, nor shall any person affiliated, or claiming affiliation, with Crowd1 have authority to make any such representations or warranties.
Crowd1 reserves the right to monitor the location from which you access Crowd1’s website and to block access from any jurisdiction in which participation is illegal or restricted. The Affiliate is not an employee of Crowd1, nor any associated company and must not claim to be so. The Affiliate is responsible for all taxes and fees based on all the Bonuses, Purchase Rights, Building Blocks, Gift Certificates and/or Crowd Funding that the Affiliate may be entitled to from time to time. In case that Crowd1 will be liable for any tax or fee based on the Bonuses to you as an Affiliate, you agree and accept to indemnify and hold Crowd1 harmless for this and accept that Crowd1 can claim liability in regards to payment of taxes or fees from the Affiliate.
You agree to indemnify and hold Crowd1 and each of its directors, officers employees, agents, partners and consultants, harmless from any and all liabilities, claims, damages and expenses, including reasonable attorney's fees, arising out of or relating to (i) your breach of this Agreement, (ii) any violation by you of law or the rights of any third party, (iii) any user content you post or share on or through the Crowd1 website, (iv) and your use of the Crowd1 website. Crowd1 reserves the right to assume the exclusive defence of any claim for which we are entitled to indemnification under this section. In such event, you shall provide Crowd1 with such cooperation as is reasonably requested by Crowd1.
3.25 Mobile Services
The web-based platform offered by Crowd1 may be available via your cell phone, including the ability to receive and reply to messages, and the ability to browse the Crowd1 website, and maybe specific application produced for usage and benefit to the Crowd1 members. Crowd1 do not charge you extra for these services. However, your carrier's normal messaging, data and other rates and fees will still apply. You should check with your carrier to find out what plans are available and how much they cost. By accessing and using the Crowd1 website via your cell phone, you agree that we may communicate with you regarding Crowd1, the Crowd1 website and other services and products by SMS, MMS, text message or other electronic means to your cell phone and that certain information about your usage of mobile services may be communicated to us. In the event you change or deactivate your cell phone number, you agree to promptly update your Crowd1 Associate and Affiliate account information to ensure that your messages are not sent to a person that might have acquired your old number.
3.26 Availability, Viruses, Warranty Disclaimer
Due to the nature of the internet and computer systems, Crowd1 cannot be held liable for the continuous availability of the Website. Although Crowd1 makes every endeavour to keep the Website accessible and free from viruses, Crowd1 cannot make any guarantee that it is virus-free. You shall, for your own protection, take the necessary steps to ensure appropriate security measures and shall utilise a virus scanner before downloading any information, software or documentation. The Crowd1 website and the crowd funding may be unavailable from time to time for maintenance or other reasons. Crowd1 assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of, user communications or content. Crowd1 is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers of any of the before mentioned, computer or mobile phone equipment, software, on account of technical problems or traffic congestions on the internet or at the Crowd1 website, including injury or damage to User's or to any other person's computer, cell phone or other hardware or software, related to or resulting from using or downloading materials in connection with the Crowd1 website or the crowd funding. All information and services included in or available through the Crowd1 website are provided "as is" and "as available" for your personal, non-commercial use. Neither Crowd1, nor any of its employees, agents, content providers, service providers, or licensors, makes any warranty of any kind regarding the website and/or the content contained therein, the products or services available on or through the website, the results that may be obtained from using the website and/or the products or crowd funding offered through the Crowd1 website. Crowd1 disclaims all warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose or non-infringement. Crowd1 expressly disclaims all warranties that the content of the website is accurate, reliable or correct; that the website will be available at any particular time or location, will be uninterrupted, timely, secure or error-free; that any defects or errors will be corrected; or that the content is free of viruses or other harmful components. Your use of the Crowd1 website is solely at your risk. You download or otherwise obtain content, material data or software (including any mobile user) from or through the Crowd1 website or service at your own discretion and risk and you will be solely responsible for your use thereof and any damages to your cell phone or computer system, loss of data or other harm of any kind that may result. Because some jurisdictions do not permit the exclusion of certain warranties, these exclusions may not apply to you. To the extent that we may not disclaim implied warranties as a matter of applicable law, the scope and duration of such warranty shall be the minimum required under such applicable law.
3.27 Limitation of Liability
Crowd1 reserves the right to determine, in its sole discretion, whether it is responsible for any such malfunction or disruption. Crowd1 also reserves the right to limit or terminate your account should Crowd1 determine, in its sole discretion, that you have intentionally caused such a malfunction or disruption.
Crowd1, its directors, employees, agents, content providers, consultants, services providers or licensors shall not be liable for any indirect, punitive, incidental, special or consequential damages, including, without limitation, damages related to loss of data, loss of goodwill, profits or opportunities that result from the use of, or inability to use, the website or from any of the content or other materials on, accessed through or downloaded from the website. This limitation applies whether the alleged liability is based in contract, tort, negligence, strict liability or any other basis, even if Crowd1 has been advised of the possibility of such damage. In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, liability shall be limited to the extent permitted by law.
Crowd1 may change these Terms & Conditions for Affiliates at any time in our sole discretion. All changes to the will come into effect 15 days after the posting of such changes unless we choose to secure your immediate acceptance of revised Terms & Conditions for Affiliates via a click-through confirmation or acceptance button. We will notify you of any material changes to the Terms & Conditions for Affiliates by presenting the new Terms & Conditions for Affiliates when you want to enter the Back-Office or we may choose to inform you of changes via e-mail. After the 15-day notice period, regardless of whether we have contacted you regarding such changes and regardless of whether you have read the changes we have made available to you, will constitute acceptance of the Terms & Conditions for Affiliates.
3.29 Governing Law
These terms and conditions shall be governed by the extensive laws of The United Kingdom.
3.30 Statute of Limitations
Regardless of any statute or law to the contrary, any claim or cause of action arising out of or relating to these Terms & Conditions for Affiliates must be filed within three (3) months after such claim or cause of action arose or be forever barred.
3.31 Pioneer Gold Leader Status
Crowd1 may appoint an Associate as a Pioneer Gold Leader Status, which will bring some added functionality to their Crowd1 membership and account.
The Associates being accredited with the Pioneer Gold Leader Status will be allocated 10.000 Building Blocks at the point of being appointed the Pioneer Gold Leader Status. These free Building Blocks will only be possible to sell and/or earn payouts from if the Associate reaches Tier 8 with 5.000.000 Binary Points in balance before the, by the company, officially announced end of the pre-launch.
The Associates with Pioneer Gold Leader Status will also have a certain amount of Gift Codes available in their account. These Gift Codes will not be subject to generating Binary Points or any other bonus. The types of Gift Codes will be as follows:
Five (5) Model C4 with Building Blocks, each worth €1599 for a total value of €7995.
Five (5) Model C3 with Building Blocks, each worth €799 for a total value of €3995.
The Associates with Pioneer Gold Leader Status will also be subject to Priority Support, meaning faster response times with a, first come first served principle for other Priority Support tickets submitted, but always prioritised before the other Associate's tickets. The Associate will also receive a preview of specific news to be one step ahead of the competition.
For any suspicion of misuse of the Pioneer Gold Leader Status, the company holds the right to terminate the account and access to the Crowd1 website with immediate effect. During an investigation the Associate can’t hold any claims, legally or financially towards the company nor any of its directors of officials, neither can any claims be held if a termination is effected. No claims can’t be held if an investigation is cleared as successful and the Associate gains back access to the account.
This Pioneer Gold Leader Status is subject to change without prior notice.
If an Associates chooses to use the option to make a payment via a bank wire transfer, the amount being transferred to the appointed bank account of Crowd1 or any of its subsidiaries, will be available as a value in the Associate's back office. This value shall only be seen as a temporary balance in the value account, and Crowd1 does not accept any monetary transactions to an Associates value account to be held for periods of time.
Crowd1 holds the right to transfer any value back to the Associate’s appointed bank account if the value isn’t spent on proprietary products offered by Crowd1 within 10 business days. Furthermore, Crowd1 holds the right to deduct any associated fees related to the specific transaction made by the Associate.
No delay or omission by any of the parties in exercising any right under these Terms & Conditions for Affiliates shall operate as a waiver of that or any other right. A waiver or consent given by the other party on any one occasion shall be effective only in that instance and shall not be construed as a bar or waiver of any right on any other occasion.
Captions contained in these Terms & Conditions for Affiliates are inserted only as a matter of convenience or for reference and in no way define, limit, extend, or describe the scope of Terms & Conditions for Affiliates or the intent of any provision of Terms & Conditions for Affiliates. It is the intent of the parties that neither Terms & Conditions for Affiliates, not any covenant in Terms & Conditions for Affiliates, shall be construed against either party pursuant to the common law rule of construction against the drafter. It is the intent of the parties that said rule not be applicable to Terms & Conditions for Affiliates. The parties waive all rights to trial by a court in any action or proceeding instituted in connection with Terms & Conditions for Affiliates. If any provision of Terms & Conditions for Affiliates shall be held invalid or unenforceable by any court of competent jurisdiction or as a result of future legislative action, such provision shall be enforced to the maximum extent permissible so as to give effect to the parties' intentions as reflected in the provision, and all other provisions of Terms & Conditions for Affiliates shall remain in full force and effect. In the event of a dispute arising out of or relating to Terms & Conditions for Affiliates, the prevailing party shall be entitled to an award of attorney's fees and costs.
Terms & Conditions for Affiliates is personal to you and may not be assigned or sub-assigned. This includes but is not limited to, sell, transfer, pledge or give power of attorney to any rights or obligations according to these Terms & Conditions for Affiliates.
In the event that any provision of these Terms & Conditions for Affiliates shall be invalid, illegal or otherwise unenforceable, the validity, legality and enforceability of the remaining provisions shall in no way be affected or impaired thereby. Nothing in these Terms & Conditions for Affiliates provides the Affiliate with the right, license, authorization or approval to make binding agreements with any person or entity on behalf of Crowd1. Furthermore, a Crowd1 Associate is not authorized to receive or collect money from any person on behalf of Crowd1. All payments must be made directly to Crowd1.
In the event any of these Terms & Conditions for Affiliates may be translated into a different language it will always be the English version that is the only legally binding version and translations may be regarded as means of information only.
